1. AGREEMENT BETWEEN USER AND TECHHALO LABS LLC

The TechHalo Labs LLC Web Site and multimodal services (the "Services") are operated by TechHalo Labs LLC (“TechHalo”). These Services are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Services constitutes your agreement to all such terms.

2. MODIFICATION OF THESE TERMS

TechHalo reserves the right to change the terms, conditions, and notices under which the Services are offered at any time. This includes, but is not limited to, changes necessitated by evolving AI regulations or federal law.

3. MANDATORY AI DISCLOSURES & ACCURACY

In accordance with modern transparency standards and specific state regulations (including California SB 942 and AB 2013):

• Nature of Interaction: You are hereby notified that the Services utilize generative artificial intelligence (“AI”) to facilitate communication. You may be interacting with synthetic systems rather than a human being.
• Accuracy Disclaimer: TechHalo utilizes both internal and third-party AI providers. AI is probabilistic and may generate information that is inaccurate, incomplete, or biased. TechHalo does not guarantee the factual accuracy of any AI-generated output.
• Reliance: You should not rely on AI-generated information for medical, legal, financial, or other professional decisions. You are responsible for independently verifying any information before taking action.
• No Autonomous-Harm Defense: TechHalo acknowledges it cannot avoid civil liability solely by claiming the AI acted autonomously. However, your use of the AI constitutes your acknowledgement of the inherent risks and limitations of the technology.

4. PRIVACY & AUTOMATED DECISION-MAKING

TechHalo acts as a Service Provider. If you are interacting with our Services in a jurisdiction with specific privacy protections (such as California), you may have the right to opt-out of "Automated Decision-Making Technology." Requests for human review of automated processes should be directed to the Client (the company you are doing business with).

5. USE OF COMMUNICATION SERVICES

You agree to use TechHalo’s multimodal interfaces only for proper, lawful purposes. You specifically agree not to:

• Use the AI to generate defamatory, obscene, or unlawful material.
• Attempt to "jailbreak," "prompt-inject," or reverse-engineer the AI models to bypass safety filters.
• Harvest data from the AI to train competing models.

6. LIABILITY DISCLAIMER

READ THIS SECTION CAREFULLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• "AS IS" BASIS: ALL INFORMATION, AI OUTPUTS, AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
• DISCLAIMER OF ERRORS: TECHHALO AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR TIMELINESS OF AI-GENERATED CONTENT.
• LIMITATION OF DAMAGES: IN NO EVENT SHALL TECHHALO OR ITS AI PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING OUT OF THE USE OR INACCURACY OF THE AI SERVICES.

7. GOVERNING LAW & VENUE (OKLAHOMA)

To the maximum extent permitted by law, this agreement is governed by the laws of the State of Oklahoma, U.S.A. You hereby consent to the exclusive jurisdiction and venue of courts in Oklahoma County, Oklahoma, U.S.A. (or the relevant federal district court for the Western District of Oklahoma) in all disputes arising out of or relating to the use of the TechHalo Services.

8. TERMINATION & ACCESS RESTRICTION

TechHalo reserves the right, in its sole discretion, to terminate your access to the Services at any time, without notice, for any reason, including violations of AI safety protocols.
